1. Eligibility and Authority

You must be at least 21 years of age, have a valid BioAscend account, and be legally able to enter into contracts in your jurisdiction. You represent that information supplied in connection with the Affiliate Program is accurate, current, and complete, and that your participation does not violate another agreement or legal obligation that applies to you.

2. Independent Relationship — No Authority to Bind

You participate as an independent referrer. Nothing in the Program creates an employment, agency, partnership, joint venture, franchise, fiduciary, or representative relationship between you and BioAscend. You may not bind BioAscend, negotiate or accept payments on its behalf, make commitments in its name, or hold yourself out as an authorized BioAscend spokesperson or representative.

3. Research-Use-Only Positioning

BioAscend products are presented for research purposes only. Affiliate content must preserve that positioning. You may not promote or imply that products are intended for human consumption, dosing, ingestion, injection, self-administration, bodybuilding, weight management, treatment, or any other personal or therapeutic use. You may not provide dosing protocols or instructions for human use in connection with your affiliate promotion.

4. Medical, Therapeutic, and Health Claims

You may not state or imply that any BioAscend product diagnoses, treats, cures, prevents, mitigates, or alleviates a disease, medical condition, symptom, or health outcome. You may not present testimonials, before-and-after claims, or scientific information in a manner that converts research information into a claim of safety, efficacy, or suitability for human use.

5. Marketing Standards and Legal Compliance

Your promotional activity must be lawful, accurate, non-deceptive, and consistent with these Terms. You are responsible for complying with advertising, consumer-protection, privacy, electronic-messaging, intellectual-property, endorsement, and platform rules that apply to you. Spam, scraping, bots, fabricated engagement, deceptive redirects, misleading claims, and unlawful or abusive promotional methods are prohibited.

6. Affiliate Disclosures

You must clearly and conspicuously disclose your affiliate relationship whenever a reasonable viewer could understand your content as an endorsement or recommendation. The disclosure must communicate that you may earn a commission from qualifying purchases and must be placed where it is reasonably likely to be seen and understood before or alongside the promotional claim.

7. BioAscend Name, Trademarks, and Brand Assets

Participation does not transfer ownership of BioAscend names, logos, designs, photographs, product imagery, trademarks, or other intellectual property. You may use brand materials only to the extent BioAscend permits for Program promotion. You may not register confusingly similar domains or social handles, impersonate BioAscend, or suggest that an affiliate-operated page is an official BioAscend property.

8. Paid Advertising and Search Marketing

Unless BioAscend gives prior written permission, you may not purchase or bid on BioAscend trademarks, confusing variations of BioAscend marks, or terms designed to impersonate BioAscend in paid search, social advertising, domain advertising, or similar campaigns. You may not create advertisements that falsely appear to originate from BioAscend.

9. Referral Codes and Accurate Promotion

Your approved referral code is assigned for Program use and may be subject to availability, review, or later change by BioAscend. You must accurately describe any discount, promotion, or customer benefit associated with your code. You may not invent offers, misstate percentages, advertise expired promotions, or imply that your code provides a benefit BioAscend has not authorized.

10. Commission Rate and Qualifying Orders

The current standard affiliate commission is 10% of the qualifying order amount attributed to an approved affiliate code. A commission is not earned merely because a code was displayed or entered. Orders may be excluded or adjusted where they are cancelled, refunded, charged back, fraudulent, duplicated, unpaid, otherwise ineligible, or connected to conduct that violates these Terms.

11. Monthly Payouts and Minimum Balance

Approved commissions are scheduled for payout monthly on the first day of the month for eligible commission balances from the applicable prior payout period. A minimum approved commission balance of $10 is required for payout. If the approved balance is below $10, it will carry forward until the minimum threshold is reached. If the first falls on a weekend, holiday, or processing is otherwise delayed, payout may be initiated on or around the first rather than received on that exact date. BioAscend may require reasonable account, identity, tax, or payout information before releasing funds.

12. Refunds, Cancellations, Chargebacks, and Reversals

If an order is refunded, cancelled, charged back, reversed, determined to be fraudulent, or otherwise becomes ineligible after commission has been recorded, BioAscend may withhold, reverse, deduct, or offset the corresponding commission against a current or future affiliate balance.

13. Self-Referrals, Fraud, and Program Abuse

You may not manipulate attribution, create sham transactions, use false identities, generate artificial traffic, coordinate fraudulent purchases, or otherwise attempt to obtain commission that does not reflect legitimate referred business. BioAscend may review unusual activity and request information reasonably necessary to investigate suspected abuse.

14. Taxes and Affiliate Responsibilities

You are responsible for determining, reporting, and paying taxes, fees, registrations, or other obligations arising from your affiliate earnings or promotional activity. BioAscend may request information reasonably required to administer payouts or comply with applicable legal and reporting obligations.

15. Monitoring, Records, and Cooperation

BioAscend may review publicly available affiliate promotion and Program activity for compliance. If BioAscend identifies a potential violation, you agree to reasonably cooperate with a review and, where appropriate, remove or correct non-compliant promotional material.

16. Suspension and Termination

BioAscend may suspend, restrict, or terminate Affiliate Program participation where it reasonably suspects fraud, abuse, misleading promotion, legal or policy violations, misuse of BioAscend intellectual property, or another breach of these Terms. During a review, BioAscend may temporarily hold disputed commissions.

17. Changes to the Program or Terms

BioAscend may modify the Program, commission structure, eligibility rules, payout administration, promotional requirements, or these Terms from time to time. Material changes may be communicated electronically. Continued participation after an effective update constitutes acceptance of the updated Program rules to the extent permitted by applicable law.

18. No Guarantee of Earnings or Program Availability

Participation does not guarantee sales, referrals, traffic, commissions, or any particular level of earnings. BioAscend does not promise that the Program, a particular referral code, commission rate, promotion, product, or feature will remain available indefinitely.

19. Limitation of Responsibility

To the extent permitted by applicable law, each participant remains responsible for their own content, conduct, systems, accounts, tax obligations, and compliance activities. Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded or limited.

20. Entire Agreement and Electronic Acceptance

These Terms, together with the Program acknowledgements and any BioAscend policies expressly incorporated into them, form the agreement governing your participation in the BioAscend Affiliate Program and supersede prior discussions or representations concerning that participation. Electronic acceptance has the same effect as acceptance in writing to the extent permitted by applicable law.
